Terms of Use of the Gestion Onyxia service
English translation provided for convenience. The parties wished these terms to be drawn up in French (section 14.3): in case of difference, the French version prevails.
Between: Eric Campeau, doing business as Gestion Onyxia (NEQ 2249818370; info@gestiononyxia.ca, 514 475-5027) ("Gestion Onyxia", "we") And: the company that signs up for the service (the "subscriber"), represented by the person who accepts these terms by checking the box provided at sign-up, and who declares having the authority to bind it.
In force on: November 2, 2026
1. The service
1.1 Gestion Onyxia is an online management application for cleaning companies: schedules and absences, employee clock-in and tasks on the phone, products to order for each location and orders to suppliers, a portal for the subscriber's clients, employee hours for the accountant, quotes and invoices.
1.2 The service is offered by subscription, accessible through a browser and installable on a phone. The software is never handed over to the subscriber: it stays on our servers.
1.3 Assisted setup (if chosen): together with the subscriber, remotely, we enter its employees, clients, locations, contracts and products, according to the plan in Schedule B.
2. Registration and accounts
2.1 The subscriber signs up on the site itself. It provides accurate information and keeps it up to date.
2.2 The subscriber creates the accounts of its employees and its clients. It gives each person only the access they need for their work. It is responsible for the use made of these accounts, for removing them when a person leaves the company or changes duties, and for the confidentiality of its own login credentials (username and password). Only the person who opened the subscription can manage the subscription, the company settings and the full data export.
2.3 The subscriber notifies us without delay if it suspects that an account has been used by someone else.
3. The subscriber's data
3.1 The data belongs to the subscriber. We process it only to provide the service to the subscriber, in accordance with Schedule A (protection of personal information), which forms part of these terms.
3.2 The subscriber may export its data at any time during the subscription and for 30 days after it ends, on request. The export does not include the shopping list or the suppliers that a client of the subscriber keeps for itself on its portal.
3.3 The subscriber is responsible for the content it enters (instructions, notes, messages) and undertakes to include only what is necessary to manage its cleaning services.
4. Orders, hours, quotes and invoices produced by the application
4.1 The application helps the subscriber prepare its product orders, its quotes and its invoices (each contract's monthly flat rate, or lines it writes, with the GST and QST calculated). The subscriber checks each order, each quote and each invoice before sending or creating it (an invoice, once created, appears in the client's portal; the subscriber prints it or saves it as a PDF to send it), and remains solely responsible for their accuracy, its taxes and its tax obligations. An issued invoice is not changed: it is cancelled by a credit note.
4.2 On a quote or an invoice, taxes are added only if the subscriber has entered its GST and QST numbers.
4.3 The application shows each employee's scheduled and clocked hours, week by week, and provides them in a file for the subscriber's accountant. It calculates neither payroll, nor wages, nor any joint committee (CPEEP) report. The subscriber checks these hours before using them, and remains solely responsible for its payroll, its deductions, its filings and compliance with the laws and decrees that apply to it. Links to official websites are provided for information only, without legal advice.
5. Price and payment
5.1 The prices are those in Schedule B (price list), plus applicable taxes (no GST or QST is charged as long as Gestion Onyxia is not registered for them, as a small supplier). The subscription is payable in advance, every month. Its amount depends on the number of employees active in the service on the 1st of the month; adding employees is never blocked.
5.1.1 Online payment. The subscriber may pay by card, digital wallet or pre-authorized bank debit, on the secure page of our payment provider, Stripe (Stripe Payments Canada, Ltd.). The payment is taken on the 1st of each month for the month that begins; the first month is billed pro rata for the remaining days. During a free trial, nothing is charged before the end of the trial. Gestion Onyxia neither sees nor keeps any card or bank account number. The subscriber may change payment method, view its invoices and receipts, or end the subscription at any time from the application (My account › Your subscription); access remains open until the end of the paid month.
5.1.2 Manual payment. If the subscriber prefers, the subscription may be paid directly to Gestion Onyxia (Interac e-Transfer, cheque), at the regular prices of Schedule B: the launch price is reserved for online payment.
5.2 We may change the prices with 30 days' written notice. A price guaranteed for a period does not change during that period.
6. Suspension
6.1 If a payment is declined or late, the subscriber is notified by email and has 10 days to settle it; after this period, we may suspend the access of the subscriber, its employees and its clients. For a card payment, the payment provider automatically retries during this period.
6.2 We may also suspend access without delay in the event of use that threatens the security of the service or of other subscribers, notifying the subscriber as soon as possible.
6.3 A suspension deletes no data. Access returns as soon as the situation is resolved.
7. Availability and support
7.1 We aim for 99% availability per month, excluding maintenance announced at least 24 hours in advance (done preferably at night). This is a goal, not a guarantee.
7.2 Support by email and phone, every day, from 8 a.m. to 8 p.m.
7.3 The data is backed up every day (section 6 of Schedule A).
8. Ownership of the software
8.1 The Gestion Onyxia software, its code, its trademark and its documentation belong to us. The subscriber receives a non-exclusive and non-transferable right of use, for the needs of its business, during the subscription.
8.2 The subscriber may not copy, resell or decompile the software, nor try to access another subscriber's data.
9. Improvement suggestions
9.1 The subscriber may suggest improvements to us (the "Suggest" tab). We consider every request, with no obligation to carry it out and no deadline.
9.2 A feature built following a suggestion belongs to us and may be offered to all subscribers, without compensation. It will never contain the data of the subscriber who suggested it.
9.3 Development reserved for a single subscriber is the subject of a separate quote.
10. Confidentiality
Each party keeps the other's non-public information (negotiated prices, data, work methods) confidential, during the subscription and for 3 years afterwards.
11. Liability
11.1 We provide the service with care and in accordance with the rules of the art, but we do not guarantee that it will be free of errors or interruptions, nor that it suits a particular need of the subscriber.
11.2 Except in the case of intentional or gross fault, our total liability is limited to the amounts paid by the subscriber in the 12 months preceding the event, and we are not liable for indirect losses (loss of profits, contracts or clientele).
11.3 We are not liable for a failure caused by superior force (major outage of an Internet or hosting service provider, disaster, etc.).
12. Term and end of the subscription
12.1 The subscription is monthly and renews automatically.
12.2 The subscriber may end it at any time with written notice (an email is enough); the end takes effect at the end of the paid period. No refund of a period that has begun, unless otherwise agreed in writing with Gestion Onyxia.
12.3 We may end it with 60 days' written notice, or without delay in the event of a serious breach not corrected within 15 days of a notice.
12.4 At the end: the subscriber may obtain the full export of its data for 30 days. During those 30 days, its clients keep their portal in read-only mode, to view and download their invoices and shopping list. The data is then deleted from the application within the following 15 days. The backup copies already made are destroyed when they expire: 30 days for those that remain on the server, 12 months at most for the encrypted off-server copies. Until then, the deleted data cannot come back into the application, even after a copy is restored. We provide a deletion certificate on request.
13. Changes to these terms
We may change these terms with 30 days' written notice. If the subscriber refuses, it may end the subscription before the change takes effect, at no cost.
14. General provisions
14.1 These terms and their schedules form the entire agreement between the parties.
14.2 They are governed by the laws of Québec. The courts of the judicial district of Richelieu (Sorel-Tracy) have jurisdiction.
14.3 The parties wished these terms and all related documents to be drawn up in French. This English translation is provided for convenience only.
14.4 Acceptance. The subscriber accepts these terms and their Schedule A by checking the box provided at sign-up. Gestion Onyxia keeps the date and the version accepted, which the subscriber sees in My account, and keeps them for 3 years after its data is erased, with its name, as proof of the agreement. A hand-signed version can also be provided on request.
Schedules
- Schedule A — Agreement on the protection of personal information
- Schedule B — Price list (per month). Launch pricing, for the first 10 companies subscribing through online payment, guaranteed for their first 12 full paid months of subscription (a partial first month does not count): 1 to 5 active employees, $39.99; 6 to 10, $69.99; 11 to 20, $99.99; 21 to 30, $139.99. Regular pricing afterwards, and for other subscribers: 1 to 5, $49.99; 6 to 10, $89.99; 11 to 20, $129.99; 21 to 30, $179.99. More than 30, by agreement. The move to regular pricing is announced by written notice 30 days in advance. A stopped subscription loses launch pricing: resuming pays regular pricing. Assisted setup free for subscribers who ask for it.
